UK ENDORSEMENT BOARD 26 MARCH 2021 AGENDA PAPER 04.01

Context

Board Members are requested to consider the delegation of their authority to the Chair of the Board to be able to sign on operational matters1 on their behalf.

Decision

UKEB Members are asked to approve the following resolutions for Delegation of Authority to the Chair of UKEB to:

  1. Sign on their behalf operational matters necessary for the effective functioning of the Board and the UKEB Secretariat.
  2. Sign on their behalf the proposed Service Level Agreement with the FRC, containing individual assumption of liabilities and indemnities, a final draft of which will be shared before signature.

Background

The UKEB is an unincorporated association governed by the rules set out in its Terms of Reference. A subsidiary of the FRC, registered in England and Wales as company number 11870890, will provide facilities and support to the UKEB in the carrying out of its functions. The provision of such facilities will be governed by a Service Level Agreement between the subsidiary company and the FRC.

It is customary for a new Board to delegate this authority to the executive(s) of the entity for performance of day-to day operations, in this instance the Executive Chair. As the UKEB is an unincorporated association, it will be a personal delegation of authority on the part of each of the Members.

The resolution has been designed in consultation with legal counsel to ensure clarity on the exact authority that is being delegated to avoid any ambiguity.
